GENERAL TERMS AND CONDITIONS OF SALE Definitions 1.1. In these general terms and conditions of sale, the following terms shall have the meanings set forth below: T&Cs: these General Terms and Conditions of Sale; Customer: the natural and/or legal person purchasing the products marketed by Ingrostore.com on the Website, for purposes related to their own business, commercial, artisanal, or professional activity; Product/s: the goods marketed by Ingrostore.com on its Website; Website: the internet site corresponding to the address www.ingrostore.com; Order Form: the electronic form through which the customer can submit a Purchase Order once registered on the Website; Purchase Order: the customer's purchase proposal submitted electronically to Ingrostore.com; Order Receipt Confirmation: the communication with which Ingrostore.com informs the Customer that it has received the Purchase Order and has submitted it to a data verification and availability process of the requested products; Acceptance Confirmation: Ingrostore.com's acceptance of the Purchase Order sent by the Customer; Purchase Price: the price of the Products net of VAT and delivery charges. Subject 2.1. These T&Cs govern the offer and sale of Products through the Website. 2.2. Sales are made only wholesale and are reserved for natural and/or legal persons, holders of a VAT number, acting for purposes related to their own business, commercial, artisanal, or professional activity. 2.3. Ingrostore.com has the right to modify these T&Cs at any time. 2.4. Any modifications or new sales conditions will be effective from the date of publication on the Website and will apply only to sales concluded after such publication. 2.5. The presentation of the Products on the Website constitutes in any case an invitation to the Customers to make, towards Ingrostore.com, a purchase proposal. Such invitations to offer are not binding on Ingrostore.com and do not constitute public offers under Article 1336 of the Italian Civil Code. Acceptance of the T&Cs 3.1. The submission of a Purchase Order, in accordance with the procedures described in the subsequent Article 5 of these T&Cs, implies the full knowledge of the T&Cs and their full acceptance by the Customer, as well as the Customer's declaration that all the information and/or personal data provided to Ingrostore.com are true. 3.2. Once the online purchasing procedure is completed, the Customer is required to print and retain these T&Cs, already viewed and accepted during the conclusion of the contract. 3.3. By placing an order through the Website, the Customer declares, under his/her responsibility, to be of legal age (i.e., to have reached the age of 18), to have the capacity to enter into contracts, and not to qualify as a "consumer" within the meaning of Legislative Decree no. 206 of 2005. Conclusion of the contract 5.1. The Customer must first register in the manner indicated on the Website, and then complete the Order Form electronically, always following the instructions contained on the Website. 5.2. The Purchase Order is considered placed when the Customer clicks on the Send Order icon specifically indicated in the Order Form. 5.3. Due to the rapid turnover of products from suppliers, an inevitable characteristic in the fast-fashion sector, the quantities of ordered products may not fully correspond to those available at the time of acceptance. The customer declares to be aware of this circumstance and, by sending the purchase order, to consider valid and binding that order even for all those products with regard to which, although the availability requested by the customer is not present, there is nonetheless an availability of at least 75% of the ordered quantity (so-called "tolerance threshold"). For products for which there is not full availability but exceed the tolerance threshold, the quantity of ordered products will be determined autonomously by Ingrostore.com in a value between 75% and 100% of the quantity ordered by the Customer. This number will be stated in the Acceptance Confirmation received by the customer. The Customer expressly declares from now on to accept this quantity as the final value of the ordered products above the tolerance threshold. 5.4. Except as already provided in Article 5.3, for all cases in which the first order is formed with some products that do not meet the quantities requested by the Customer, for the missing products necessary to reach the exact ordered quantity, Ingrostore.com reserves the right to propose alternative products of a similar or equal nature to those ordered, through a new offer inserted in the Acceptance Confirmation of the first order, or in the interface/platform specifically prepared for the Customer. In this case, the customer has 24 hours from receiving the new proposal to decide whether to accept it or not (so-called "Supplementary Order"). If not accepted within said term, the new proposal is deemed rejected, and the order will be shipped in relation to only the products originally ordered based on what is expressed in Article 5.3. If the new proposal is accepted, the Supplementary Order may be shipped together with the Customer's first order, accepted on the basis of the conditions set out in Article 5.3. 5.5. All Purchase Orders transmitted to Ingrostore.com must be fully completed in all their parts and must contain the elements necessary for the exact identification of the ordered Products, the Customer, and the place of delivery. 5.6. Ingrostore.com reserves the right, in any case and at its discretion, not to accept Purchase Orders. 5.7. Following the receipt of the Purchase Order, Ingrostore.com promptly sends the Customer, to the email address provided by the Customer, the Confirmation of Receipt of the Order. The confirmation of receipt of the order by Ingrostore.com does not constitute acceptance of the Customer's Purchase Order. 5.8. The sales contract is concluded at the time the Customer receives from Ingrostore.com the Acceptance Confirmation, always to be sent to the address communicated by the Customer, containing information regarding the indication of the price, means of payment, shipment of the Products, and the expected delivery date. 5.9. The invoice will be sent together with the Product. Price and payment 6.1. The Purchase Price of the Products is the one indicated on the Website. 6.2. All Purchase Prices indicated on the Website are to be understood net of VAT and delivery charges, which are therefore to be added to the total amount to be paid as Purchase Price. 6.3.
